1. Acceptance of Vendor Terms

By registering as a vendor on Shop Mart, you agree to comply with these Vendor Terms, our Terms of Use, Privacy Policy, Refund & Returns Policy, and Shipping Policy.

2. Vendor Eligibility

  • Vendors must provide accurate business information, including legal name, contact details, and payment account information.
  • Vendors must comply with all applicable laws and regulations in Saint Lucia.
  • Shop Mart reserves the right to approve, reject, or suspend vendor accounts at its discretion.

3. Vendor Responsibilities

  • Product Listings: Vendors must ensure product descriptions, images, and prices are accurate and not misleading.
  • Order Fulfillment: Vendors must process and ship orders promptly within the stated timeframe.
  • Customer Service: Vendors are responsible for handling customer inquiries, complaints, and returns in line with Shop Mart’s Refund & Returns Policy.
  • Compliance: Vendors must not sell illegal, counterfeit, or prohibited items.

4. Commissions & Payouts

  • Shop Mart charges a commission on each sale, as outlined in the vendor dashboard.
  • Payouts are processed monthly, on the 8th working day of each month.
  • Payouts include commissions for completed orders that have been finalized for more than seven (7) days, ensuring no pending refund requests.
  • Payouts are made via Stripe, Credit Cards, Local Bank Transfers, or Checks, according to the vendor’s chosen method.

5. Shipping & Delivery

  • Vendors are responsible for packaging and shipping products securely.
  • Vendors must provide accurate delivery estimates and tracking information where available.
  • Vendors must comply with Shop Mart’s Shipping Policy.

6. Refunds & Returns

  • Vendors must honor Shop Mart’s Refund & Returns Policy.
  • Vendors must accept eligible returns within 7 days of delivery or pickup.
  • Vendors are responsible for issuing refunds promptly once items are returned.

7. Prohibited Activities

Vendors may not:

  • Sell counterfeit, illegal, or unsafe products.
  • Engage in fraudulent transactions.
  • Misuse customer data.
  • Attempt to circumvent Shop Mart’s commission system.

8. Liability & Indemnification

  • Vendors are solely responsible for their products and services.
  • Vendors agree to indemnify Shop Mart against claims, damages, or losses arising from their products or conduct.

9. Termination

  • Shop Mart reserves the right to suspend or terminate vendor accounts for violations of these terms.
  • Vendors may close their accounts at any time, subject to settlement of outstanding orders and commissions.

10. Governing Law

  • These Vendor Terms are governed by the laws of Saint Lucia. Any disputes will be resolved under Saint Lucian jurisdiction.
